Terms of Use

1. The Company

This website and the software described on it are operated by Dark Data Technologies, a private company incorporated in the Republic of South Africa under registration number 2026/624802/07 (the “Company”), trading as Dark Data.

Accessing this website or using software licensed from the Company constitutes acceptance of these Terms. Anyone who does not accept them should not use the website or the software.

2. Scope of the Company’s activity

The Company is a software developer. It designs, licenses and supports computer programs that automate the execution of predefined trading rules on the MetaTrader platform.

The Company does not:

  • provide financial, investment, tax or legal advice;
  • act as a broker, dealer, portfolio manager or financial services provider;
  • receive, hold, control or have visibility of user funds;
  • manage, trade or access any trading account on a user’s behalf;
  • guarantee any trading outcome, return, profit or level of performance.

The Company is not authorised as a Financial Services Provider by the Financial Sector Conduct Authority and carries on no business requiring such authorisation. Nothing on this website is an offer, solicitation or recommendation to buy or sell any financial instrument.

3. Licence

Where a licence is lawfully acquired through the MQL5 Market, the Company grants a non-exclusive, non-transferable, revocable licence to install and use that software for the licensee’s own trading, subject to these Terms and to the MQL5 Market terms published by MetaQuotes Ltd.

The licensee may not:

  • copy, resell, sublicense, rent or redistribute the software;
  • decompile, disassemble or reverse-engineer it, except where such restriction is prohibited by law;
  • remove or alter any proprietary notice, licence check or attribution;
  • use the software to provide a managed or signal-copying service to third parties without the Company’s prior written consent.

All intellectual property in the software, this website, the Dark Data name and the Dark Data logo remains vested in the Company or its licensors.

4. User responsibilities

Each user confirms that they:

  • are at least 18 years old and legally able to enter into this agreement;
  • may lawfully trade the relevant instruments in their jurisdiction;
  • have read and understood the Risk Disclosure;
  • will test the software on a demo account before committing real capital;
  • accept sole responsibility for their broker, account settings, risk parameters and every order placed on their account;
  • will maintain the technical conditions the software requires, including terminal uptime, connectivity and data feed.

5. No warranty

The software is provided “as is” and “as available”. To the maximum extent permitted by law the Company disclaims all warranties, express or implied, including fitness for a particular purpose, merchantability and non-infringement. The Company does not warrant that the software will be uninterrupted, error-free, compatible with every broker or configuration, or that it will achieve any particular result.

Nothing in these Terms excludes or limits any right conferred by the Consumer Protection Act 68 of 2008 or other law that cannot lawfully be excluded.

6. Limitation of liability

To the maximum extent permitted by law, the Company, its directors, employees and contractors will not be liable for any trading loss, loss of profit, loss of opportunity, loss of data, or any indirect, incidental, special or consequential damage arising from use of, or inability to use, the software or this website — whether caused by software defect, market conditions, broker conduct, connectivity failure, configuration error or otherwise.

Where liability cannot lawfully be excluded, the Company’s total aggregate liability is limited to the amount actually paid for the relevant product in the twelve months preceding the event giving rise to the claim.

7. Third-party platforms

The software runs on MetaTrader 5 and is distributed through the MQL5 Market, both operated by MetaQuotes Ltd., which is not affiliated with the Company. Use of those platforms is governed by their own terms. A user’s trading account is held with a broker of their choosing, and that relationship is between the user and the broker alone. The Company is not responsible for the acts, omissions, pricing, execution or solvency of any broker or platform operator.

8. Availability and changes

The Company may modify, suspend or discontinue any part of this website or any product version at any time, and may amend these Terms. The version published on this page at the time of use is the version that applies. Material changes are reflected in the revision date above.

9. Governing law

These Terms are governed by the laws of the Republic of South Africa, and the parties submit to the non-exclusive jurisdiction of the South African courts. Should any provision be found unenforceable, the remaining provisions continue in force.
